พิจารณาได้ว่าความมุ่งหมายหรือเนื้อหาสาระที่แท้จริง (substance) ของการออกและเสนอขายตราสารหนี้นั้น เข้าลักษณะเป็นการหลีกเลี่ยงบทบัญญัติตามกฎหมายว่าด้วยหลักทรัพย์และตลาดหลักทรัพย์ หรือประกาศนี้
