ลักษณะเป็นตราสารที่ซับซ้อน เช่น หุ้นกู้ด้อยสิทธิ หรือหุ้นกู้ที่ครบกำหนดไถ่ถอนเมื่อมีการเลิกบริษัท (perpetual bond) เป็นต้น ความในวรรคหนึ่ง (3) มิให้นำมาใช้บังคับกับกรณีที่ผู้ขออนุญาตยื่นคำขอ
