จาก (1) ให้แก่บุคคลในวงจำกัด (private placement) หรือบุคคลทั่วไป (public offering) ได้ (2) หน่วยลงทุนในส่วนที่ผู้ถือหน่วยลงทุนเดิมไม่ใช้สิทธิ บริษัทจัดการสามารถเสนอขายให้แก่บุคคลในวงจำกัด
